Terms of Service
1. Introduction
Welcome to the official website of Victor Nja, accessible at thevictornja.org.
These Terms of Service (“Terms”) govern your use of this website and establish the general terms under which you may enquire about or engage Victor Nja for professional creative and strategic services.
Victor Nja works across creative direction, fashion design, styling and image architecture, brand architecture, marketing, public relations and related creative services, as offered from time to time.
In these Terms, “Victor”, “we”, “us” or “our” refers to Victor Nja. “You” or “your” refers to any person or organisation visiting the website or engaging our services.
By using this website, you agree to these Terms. A separate written proposal, quotation, statement of work or signed agreement may establish additional terms for a specific project. Where the documents conflict, the project-specific agreement will govern that project to the extent of the conflict.
2. Website Use
You may use this website to learn about our work, review our portfolio, make enquiries and explore potential professional engagements.
You agree not to:
- Use the website for unlawful, fraudulent or misleading purposes.
- Attempt to gain unauthorised access to the website, its systems or associated data.
- Interfere with website security, availability or normal operation.
- Copy, reproduce, distribute or commercially exploit website content without permission, except where permitted by law.
- Submit malicious code, harmful files or content that infringes another person's rights.
We reserve the right to restrict access where reasonably necessary to protect the website, our rights, other users or the integrity of our services.
3. Scope of Professional Services
Our services may include creative direction, fashion design, styling and image architecture, brand strategy and architecture, marketing, public relations, creative consulting, product procurement and other related services.
The precise scope of any engagement will depend on the project and will be agreed separately.
A website description, portfolio example, conversation or preliminary enquiry does not by itself constitute a commitment to undertake a project or guarantee a particular result.
Before work begins, clients should receive written confirmation of the relevant scope, deliverables, timeline, fees, payment arrangements and other material conditions.
4. Enquiries, Proposals and Engagements
Submitting an enquiry through the website does not automatically establish a client relationship or guarantee availability.
Any proposal or quotation may be subject to an expiry date, stated assumptions, exclusions and acceptance conditions.
A project will be treated as confirmed when the required acceptance, documentation and any agreed initial payment or deposit have been completed.
Clients are responsible for providing accurate information, timely feedback, necessary approvals and materials reasonably required to carry out the agreed work.
5. Fees and Payments
Fees, payment milestones, deposits, expenses, taxes and other charges will be stated in the relevant proposal, quotation or project agreement.
Unless otherwise agreed in writing:
- Work will proceed according to the payment arrangements confirmed for the project.
- Additional requests outside the agreed scope may require a revised quotation or additional fees.
- Third-party costs, production costs, procurement costs, transport, travel and other project expenses will be addressed in the project agreement.
- Any applicable taxes or statutory charges will be handled in accordance with the relevant agreement and applicable law.
No general refund, cancellation fee or deposit-forfeiture rule is created by these Terms alone. Such arrangements should be expressly stated in the applicable project agreement before the client commits.
6. Project Scope, Revisions and Changes
The agreed project scope defines the work to be delivered.
Revision rounds, approval stages and feedback deadlines should be set out in the relevant proposal or project agreement.
Requests that materially change the original brief, deliverables, creative direction, timeline or production requirements may be treated as additional work. We will communicate any material fee or timeline implications before proceeding with such changes.
Delays caused by late feedback, incomplete information, late payments or changes requested by the client may affect the project schedule.
7. Intellectual Property
Original creative work, concepts, designs, written material, visual assets, strategies, layouts, presentations and other materials may be protected by intellectual property laws, including the Copyright Act 2022 of Nigeria where applicable.
Unless otherwise agreed in writing:
- Pre-existing intellectual property, tools, methods, templates, frameworks and materials owned or developed independently by Victor remain Victor's property.
- Drafts, rejected concepts, exploratory directions, working files and unused creative proposals remain with Victor unless the project agreement states otherwise.
- Payment for a project does not automatically transfer ownership of every concept, source file, working document or underlying intellectual property.
- The ownership or licence of final deliverables will be determined by the applicable project agreement.
- Any third-party assets remain subject to the relevant third-party licence or usage conditions.
Where a project agreement provides for a transfer of rights or a licence, that agreement should identify the relevant deliverables, permitted uses, territory, duration and any applicable conditions.
Clients are responsible for ensuring they have the necessary rights to materials they supply and authorise us to use.
8. Portfolio and Publicity
We may wish to feature completed work in our professional portfolio, case studies, presentations, website or social media.
We will not assume that all client work may be publicly disclosed. Where a project is confidential, subject to an embargo or otherwise restricted, the applicable agreement and any relevant confidentiality obligations will govern.
Clients who require confidentiality, delayed publication or restrictions on identifying their brand should communicate those requirements before work begins and have them documented in writing.
9. Confidentiality
Both parties may receive confidential information during a project, including business plans, unreleased campaigns, product concepts, commercial information and unpublished creative materials.
Where confidentiality has been agreed or is otherwise required by law, each party will take reasonable steps to protect that information and use it only for the relevant purpose.
Information will not be treated as confidential to the extent it is lawfully public, already known without a confidentiality obligation, independently developed or required to be disclosed by law.
Additional confidentiality obligations may be established in a separate non-disclosure agreement or project contract.
10. Third-Party Suppliers and Procurement
Some projects may involve external designers, manufacturers, printers, production teams, vendors, platforms or other service providers.
Where third parties are involved, their availability, pricing, delivery times, quality standards and terms may affect the project.
Unless expressly agreed otherwise, third-party goods and services remain subject to the relevant supplier's terms and warranties. We will clarify our role, responsibilities and any applicable procurement or coordination fees in the project agreement.
We are not responsible for independent third-party acts or failures beyond our reasonable control, subject to applicable law and any obligations expressly accepted in writing.
11. Timelines and Outcomes
Project timelines are based on the information, approvals, resources and assumptions available when the project is agreed.
We will make reasonable efforts to meet agreed milestones, but timelines may change due to client delays, revisions, supplier issues, force majeure events or other circumstances outside our reasonable control.
Creative, branding, marketing and public relations services involve professional judgement and external factors. We do not guarantee specific commercial results, sales figures, audience growth, media coverage, public reception or business performance unless a particular commitment is expressly agreed in writing.
12. Cancellation, Suspension and Termination
The cancellation, suspension or termination of a project will be governed by the applicable project agreement.
Where no specific arrangement exists, the parties should communicate promptly and in writing to agree on the status of work completed, outstanding payments, approved expenses, delivery of completed materials and any reasonable transition arrangements.
Any refund, outstanding fee or cancellation charge must be determined by the applicable agreement and relevant law.
We may suspend work where reasonably necessary due to non-payment, missing essential information, unlawful instructions, material breach of an agreement or a significant risk to safety, security or legal compliance. Where appropriate, we will communicate the issue and provide an opportunity to resolve it.
13. Website Content and Availability
We make reasonable efforts to keep website content accurate and accessible. However, portfolio content, service descriptions, availability and other information may change without notice.
The website and its content are provided for general informational purposes. We do not guarantee uninterrupted availability, error-free operation or that all website information will always be complete or current.
Nothing on this website constitutes legal, financial or other regulated professional advice.
14. Limitation of Liability
To the extent permitted by applicable law, we will not be liable for indirect or consequential losses arising from the use of this website or from matters outside our reasonable control.
Nothing in these Terms excludes or limits liability where doing so would be unlawful, including any liability that cannot legally be excluded or limited.
Liability arising from a specific professional engagement may be addressed further in the relevant project agreement.
15. Indemnity
You are responsible for ensuring that materials you provide for a project may lawfully be used for the agreed purpose.
To the extent permitted by law, you may be responsible for losses, claims or reasonable costs arising directly from your unlawful use of our services or from materials you provide that infringe third-party rights, except to the extent caused by our own breach, negligence or unlawful conduct.
16. Privacy
Our collection and use of personal information are governed by our Privacy Policy, available at thevictornja.org/privacy-policy.
By submitting information through the website, you acknowledge that your information will be handled in accordance with that policy and applicable law.
17. Governing Law and Disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, subject to any mandatory legal provisions that apply.
If a dispute arises, the parties should first attempt to resolve it through good-faith discussions. Where a dispute cannot be resolved amicably, either party may pursue the remedies available through the appropriate legal process or competent court.
Any project-specific dispute resolution provisions agreed in writing will also apply to that engagement to the extent legally enforceable.
18. Changes to These Terms
We may update these Terms to reflect changes in our services, website functionality or legal requirements.
The updated version will be published on this page with a revised date. Continued use of the website after an update takes effect constitutes acceptance of the updated website terms to the extent permitted by law. Changes to an existing client engagement will be governed by the applicable project agreement and law.
19. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
